Terms of Service

1. Acceptance of Terms

By using the Services, you agree to these Terms and our Privacy Policy. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

2. Eligibility and Accounts

You must be legally able to enter a binding contract and comply with applicable laws. You are responsible for all activity under your account, including safeguarding login credentials and one-time code access to your email account.

3. API Keys and Security

You are responsible for all use of your API keys, including keeping keys confidential, rotating or revoking compromised keys, and preventing unauthorized access. We may suspend keys that present a security risk.

4. Acceptable Use

You will not misuse the Services, including by:

• violating any law, regulation, or third-party rights;
• attempting unauthorized access, interference, or disruption of systems;
• using the Services for fraud, deceptive practices, or harmful activity;
• reverse engineering or attempting to extract underlying source code, except where legally permitted.

5. Credits, Billing, and Refunds

Value.ai currently offers prepaid credit bundles processed by Stripe. Credits are consumed per request (for example, the appraise endpoint currently consumes 10 credits per request). Unless otherwise required by law, purchases are non-refundable once credits are delivered to your account.

You are responsible for applicable taxes, chargebacks, and fees associated with your payment method.

6. Appraisal Output Disclaimer

Appraisals and value ranges are algorithmic estimates based on available inputs and market signals. They are informational only and are not guarantees, certified appraisals, financial advice, legal advice, tax advice, insurance advice, or underwriting decisions. You are solely responsible for how you use outputs.

7. Your Content and License

You retain ownership of content you submit (such as image URLs, descriptions, and related inputs). You grant us a worldwide, non-exclusive license to host, process, and transmit that content only as needed to provide, secure, and improve the Services, consistent with our Privacy Policy.

You represent that you have all rights and permissions required for content you submit.

8. Intellectual Property

The Services, including software, branding, and documentation, are owned by Value.ai and its licensors and are protected by intellectual property laws. Except for rights expressly granted in these Terms, no rights are transferred to you.

9. Availability, Changes, and Support

We may update, modify, or discontinue features at any time. We do not guarantee uninterrupted or error-free availability. Scheduled and emergency maintenance may affect access.

10. Suspension and Termination

We may suspend or terminate access if you violate these Terms, create security or legal risk, or misuse the Services. You may stop using the Services at any time. Sections that by nature should survive termination will survive.

11. Warranty Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, VALUE.AI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VALUE.AI WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA. VALUE.AI'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO VALUE.AI IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

You will defend, indemnify, and hold harmless Value.ai, its affiliates, and personnel from claims, liabilities, damages, and expenses (including reasonable legal fees) arising from your use of the Services, your content, or your violation of these Terms or applicable law.

14. Governing Law and Disputes

These Terms are governed by the laws of [GOVERNING_LAW_JURISDICTION], excluding conflict-of-laws principles. You and Value.ai agree to the exclusive jurisdiction and venue of courts located in [DISPUTE_VENUE], unless applicable law requires otherwise.

15. Changes to These Terms
